Non Disclosure Agreement[NDA]
保密协议 NDA #
(the“Receiving Party”) proprietary information which regards as Company Confidential in the pursuit of better tape products for.
公司所有的相关信息机密作为产品的一部分，它的所有权是公司。
All information received from shall be treated as confidential, and must not be used for any purpose other than for the described under Subject/Program or be shared with a third party or personnel not DIRECTLY involved in aforementioned Subject or Program, without the written permission of PDE.
从收到的所有信息应被视为机密，而且不得用于除非项目/计划另有说明，未经书面许可不允许向任何第三方组织或人员提供。
It is understood that no license or right of use under any patent or patentable right, copyright, trademark or other proprietary right is granted or conveyed by this Agreement. The disclosure of Confidential Information and materials shall not result in any obligations to grant the receiving party rights therein.
要明白不经许可无权使用专利权、著作权、商标权和其它所有权、同意转让权，任何泄漏机密和原料信息导致的义务将接受第三方的审判。
Protect the personal information of everyone the facility does business with, including customers, suppliers and workers,
要保护与工厂商业往来的个人信息，包括工人，客户和供应商。
The "Receiving Party" will be responsible for all aspects of security relating in information received from PDE, and will upon request demonstrate that all reasonable security precautions have been implemented.
“接收方”应负责确保信息的安全性，并根据要求证明一切合理的安全预防措施已付诸实施。
Upon request of PDE all information received will be returned, and will not be stored in any data retrieval System, either mechanical or electronically.所有公司的信息资料接收无论是电子档还是书面档都需进行资料检索系统。
The obligations of confidentiality stated above do not apply to any portion of information which:
上述保密义务不适用于信息的任何部分
1.Is already known to the "Receiving Party"as evidenced by dated documentation ,or
文件的证据已被接收部门明白，或
2.Is OR becomes part of the "Public Domain", without a breach of this agreement, or违背这项协议将接受公众裁判， 或
3.Is rightfully received from a third party, without a breach of this agreement, or 未经同意不被第三方接受， 或
4.Becomes approved for release by by written authorisation in advance of disclosure or publication.任何未经批准，发行的电子档和书面文件不能泄露和出版。
This agreement will be binding for a period of 15 years.这份协议保持15年。
